Governing law and dispute resolution

These Terms of Service and any dispute arising out of or related to these Terms, your use of the site, or your relationship with PaymentStack Inc. shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of laws principles.

Informal resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact PaymentStack Inc. at hola@paymentstack.io to attempt to resolve the dispute informally. We will attempt to resolve any dispute within thirty (30) days of receiving notice. Both parties agree to negotiate in good faith to reach a mutually satisfactory resolution.

Binding arbitration

If we cannot resolve a dispute through informal negotiations, any controversy, claim, or dispute arising out of or relating to these Terms shall be resolved exclusively through final and binding arbitration conducted by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules.

• Location: The arbitration shall be conducted in Houston, Texas, USA, or remotely via video conference at the option of the complaining party.
• Language: The arbitration proceedings shall be conducted in English.
• Arbitrator: The arbitration will be conducted by a single neutral arbitrator selected in accordance with AAA rules.
• Decision: The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.
• Costs: Each party shall bear its own costs of arbitration, including attorney's fees, unless otherwise awarded by the arbitrator.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights or proprietary rights.

Class action waiver

To the extent permitted by applicable law, all claims must be brought in a party's individual capacity, and not as a plaintiff or class member in any purported class, collective action, or representative proceeding. You and PaymentStack Inc. each waive the right to a trial by jury and the right to participate in a class action.

International enforceability

Any arbitration award rendered pursuant to these Terms may be enforced in any court of competent jurisdiction, including courts in countries that are signatories to the United Nations Convention on the Recognition and Enforcement of Foreign Arbitral Awards (the "New York Convention").

Compliance with local laws

You are solely responsible for ensuring that your use of the site complies with all applicable laws, regulations, and rules in your jurisdiction. If any provision of these Terms conflicts with applicable law in your jurisdiction, that provision shall be interpreted to the maximum extent permissible under such law, and the remaining provisions shall remain in full force and effect.
